London, UK – December 4 2006 – NDS Group Plc, the leading provider of technology solutions for digital pay-TV, today announced the acquisition of 100% of the share capital of Jungo Ltd, a leader in residential gateway software, for an aggregate consideration of up to $107.5 million in cash. This includes $17 million of earn-out payment contingent on the attainment of certain fiscal targets for the 12-month period following completion. Completion is expected to occur during the first calendar quarter of 2007.

Jungo has recently released OpenRG and OpenSMB v4.3, which includes new technology modules for broadband CPE manufacturers and service providers. Version 4.3 includes new usability and performance features to fit service providers’ latest requirements for gateways such as simple installation and setup.

The product now enables the home and office user to easily focus on the root cause of failures at the gateway, and the services affected. The new version includes a Web page interception functionality to enable a first-time on-the-fly setup of the gateway and a captive portal to allow authenticated wireless access without the need to go through complex wireless security definitions, which reduces support calls from end-users.

All modules can be remotely updated to gateways that are already deployed by Jungo's customers, and are pre-integrated into the OpenRG and OpenSMB software suites for easy implementation in future devices.

In addition, Jungo has launched a new Graphical User Interface (GUI). The new efficient and user-friendly design addresses both the residential and business user needs.

The interoperability tests were conducted as part of the MotiveSmart™ Verification Program, which evaluates customer premises equipment (CPE) for compliance with the DSL Forum’s WAN Management protocol, known as TR-069.

The Office-in-a-Box platform blends Jungo’s field-proven OpenSMB software with Freescale’s MPC8349E mITX reference board and Vitesse’s SparX Gigabit Ethernet switch technology.

Jungo has recently released OpenRG and OpenSMB 4.2 version, which includes new technology modules for broadband CPE manufacturers. Version 4.2 now includes TR-098 DSL Home standard support to enable a remote configuration of QoS parameters for Telco managed CPEs. Jungo’s TR-098 is part of an extensive DSLHome solution for multi-service gateways including TR-69 and TR-64.

The new version also includes SSL VPN – to enable secure remote access through applications such as Telnet, FTP and Remote Desktop to the local network.
